[Vnbiz] Legal Term

Dear CACE, 
I am translating a Guarantee Agreement.
There are some terms (sections) that I do not know how to translate them into Vietnamese although I could find out the meaning thanks to Mr. Google & Wikipedia :). These terms are:
- Set-off / No set-off 
- Certificate Conclusive 
-Waiver of Defenses
- Rights and Remedies not Limited
Highly appreicate if anyone can help me to solve out the equivalent vietnamese terms.
