We need to understand the management structure of a
company to interprete this term. In a corporation or
jointstock company, in the US - the shareholders elect
or hire some people to serve in the Board of Directors
- this is the highest management body who decides all
the decisions of the company and supervises the
decisions/acts of the executives/executive
directors/CEOs... In Vietnam, this board is the same
as the Board of Management - Hoi dong quan tri. For
example, in News Corporation, a law professor is hired
to act as non-executive director of the Board of
Directors. This professor is not at the same time an
executive officer - giam doc/quan doc. But there are
directors who are also executive officers, like CEO.
There are also terms, like non-independent
executive/directors - meaning directors or executives
who hold shares of the corporations. Others are
called independent.
